1. About these terms
These terms govern your use of veridionsystems.net (the "Site") and any enquiry you submit through it. By using the Site you accept these terms. If you do not accept them, please do not use the Site.
These terms cover the website only. Software development, automation, dashboard, and support engagements are governed by a separate written agreement — a proposal, statement of work, or care plan agreement signed by both parties. Where that agreement conflicts with these terms, that agreement takes precedence.
2. Who we are
Veridion System Limited (RC 9594563) ("Veridion", "we", "us") is a private company limited by shares, registered in Nigeria. It operates the Veridion Systems website and services — "Veridion Systems" is the trading and brand name we use publicly, and Veridion System Limited is the legal entity behind it and the party contracting with you under these terms.

3. Using the Site
You may use the Site for legitimate business purposes. You may not:
- Use it unlawfully, or in a way that breaches any applicable regulation
- Attempt to gain unauthorised access to the Site, its servers, or connected infrastructure
- Introduce malware, or attempt to interfere with the Site's operation
- Scrape, harvest, or systematically extract content or contact details
- Submit false information, impersonate another person, or misrepresent your affiliation
- Attempt to manipulate, jailbreak, or extract system instructions from our AI assistant
We may suspend or restrict access where we reasonably believe these terms have been breached.
4. Enquiries and consultations
Submitting the contact form or booking a consultation creates no contractual obligation on either side. It is an expression of interest.
A binding engagement begins only when both parties sign a written proposal or statement of work setting out scope, deliverables, fees, and timeline.
Any timelines, cost indications, or feasibility comments given during a free consultation are preliminary and non-binding estimates, based on limited information, and do not constitute a quotation.
5. Our AI assistant
The Site includes an AI assistant ("Veridion AI") that answers questions about our services.
- Its responses are informational only and do not constitute a quotation, a commitment, professional advice, or a contractual offer
- It may produce inaccurate or incomplete information
- Nothing it says binds Veridion System Limited. Pricing, scope, and timelines are confirmed only in a written proposal signed by an authorised representative
- Do not submit confidential, sensitive, or personal data through it
6. Intellectual property
Our content. All content on the Site — text, design, layout, graphics, code, and the Veridion Systems name and logo — is owned by or licensed to Veridion System Limited and protected under Nigerian and international law. You may view and print pages for your own business evaluation. You may not reproduce, republish, or commercially exploit any part without our written permission.
Client marks. Client names, logos, and screenshots shown in our portfolio remain the property of those clients and appear with permission. Nothing on the Site grants you any right to use them.
Work product. Ownership of software we build for you is governed by your engagement agreement, not by these terms. Our general position is that on full payment, the client owns the custom application code and its data, while Veridion retains ownership of its pre-existing tools, libraries, frameworks, and general know-how, and grants a licence to use them as embedded in the deliverable.
7. Portfolio and case studies
Portfolio entries and case studies describe work we have delivered. Outcomes described reflect the results achieved in those specific engagements and are not a guarantee or prediction of results in any other engagement. Every business is different.
Where a case study is anonymised, this is at the client's request.
8. Third-party links and platforms
The Site links to third-party sites and to systems we have built that are operated by our clients. We do not control those destinations and are not responsible for their content, availability, security, or privacy practices. Following an external link is at your own risk.
We build on third-party platforms and services. We are not responsible for outages, pricing changes, deprecations, or policy changes by those providers, though we will work with you in good faith to mitigate their effect on your systems.
9. Availability
We aim to keep the Site available but do not guarantee uninterrupted access. We may suspend, withdraw, or change any part of it without notice. Service levels for systems we build and maintain for you are set out in your engagement or care plan agreement.
10. Disclaimers and limitation of liability
The Site and its content are provided "as is". To the fullest extent permitted by law, we exclude all warranties, express or implied, as to its accuracy, completeness, or fitness for any purpose.
To the fullest extent permitted by Nigerian law, Veridion System Limited will not be liable for any indirect, consequential, special, or incidental loss, or for loss of profit, revenue, business, goodwill, data, or anticipated savings, arising from your use of or inability to use the Site.
Where liability arising from your use of the Site cannot be excluded, it is limited to ₦100,000. Liability arising from a paid engagement is governed by the limitation clause in that engagement agreement.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
11. Indemnity
You agree to indemnify Veridion System Limited against claims, losses, and reasonable costs arising from your breach of these terms or your unlawful use of the Site.
12. Privacy
Our handling of personal data is set out in our Privacy Policy, which forms part of these terms.
13. Changes
We may revise these terms at any time. The "Last updated" date reflects the current version. Continued use of the Site after a change constitutes acceptance.
14. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria. The courts of Lagos State have exclusive jurisdiction over any dispute, save that we may seek injunctive relief in any competent jurisdiction to protect our intellectual property.
Before commencing proceedings, both parties agree to attempt good-faith resolution through direct negotiation for a period of 30 days.
15. General
If any provision is held unenforceable, the remainder continues in full force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy and any signed engagement agreement, constitute the entire agreement between us regarding the Site.
